Community HealthSystems Professional Services Corporation seeks a Manager, Joint Venture Accounting for its Franklin, TN, headquarters Accountingteam.


Essential Duties andResponsibilities include thefollowing. Other duties may beassigned.

This position performs the following accounting and financialreporting duties:

  • Supervise staffand seniors responsible for the initial review of quarterly financial statementinformation for joint ventures.

  • Review ofquarterly financial statements and available cash for all joint venturesmanaged by CHS.

  • Provide quarterlyand year end analysis of Minority Interest Expense.

  • Assist facilitiesin determining necessary ‚ÄúSpecial Purpose Entity opening balance sheetadjustments relative to new syndications for joint venture consolidations.

  • Review andprovide financial information to legal and division operations for purposes ofredemptions, secondary offerings, etc.

  • Research andprovide documentation on JV related questions from facilities, division, legal,and senior management.

  • Coordinate andmanage separate company audits of JV facilities as required by the operatingagreements.

  • Assist the jointventure entities in the preparation and review of unaudited financialinformation and unaudited pro forma financial information for Private PlacementOffering documents.

  • Review PrivatePlacement Offering documents and related valuation reports for all financialreporting issues.

  • Provide commentsfor syndication presentation materials for division operations and legal asrequested.

  • Assist in thepreparation of purchase price allocations for acquisition activity andrecording of divestitures.

Reasoning Ability:

Ability to define problems,collect data, establish facts, and draw valid conclusions. Ability to interpretan extensive variety of technical instructions in mathematical or diagram formand deal with several abstract and concrete variables.

Computer Skills:

To perform this jobsuccessfully, an individual should have knowledge of Microsoft Office WordProcessing software and Spreadsheet software.

Certificates andLicenses:

CPA Required.


Theposition will supervise one to two other individuals in the financial reportingdepartment that have primary responsibility for reviewing joint venturereporting files and managing the calculation of owner distributions.


  • Bachelors degree in Accounting required.

  • Four (4) years relevant experience in accounting / financial reportingwith two or more years or more in public accounting.

  • Experience in reviewing and evaluating business valuations and appraisalswith an understanding of the concepts of fair value in GAAP
